A Benefit Corporation or B-Corp is a type of for-profit corporation that provides the highest standard of social and environmental transparency, accountability and corporate purpose. Status as a B-Corp mandates that directors consider society and environmental good as well as profits, in their decision making.Traditional corporations contrast with B-Corps in that their officers have a fiduciary duty to maximize shareholder wealth (period!). Standard corporate taxation generally applies to a B-Corp.

Some reasons one might register as a B-Corp include marketing purposes or protecting the founder/company's social mission.

Alisa Andrews is an Associate Attorney at the Law Offices of Pamela P. Little, PLLC. Her prior experience includes working for the Environmental Enforcement Division of the Vermont Agency of Natural Resources. She graduated cum laude from Vermont Law School with a J.D. and Masters of Environmental Law & Policy. During law school, Alisa also worked as a teaching and research assistant, and completed internships with the Vermont Attorney General’s Office and New Hampshire Supreme Court. She received her B.A. from Keene State College in English Literature, with concentrations in French and Political Science. Alisa is currently licensed to practice law in Vermont, and working toward New Hampshire licensure.
