Description:

Obtain behind-the-scenes knowledge regarding how investors and proxy advisory firms (ISS & Glass Lewis) evaluate stock plan proposals. In addition to summarizing key aspects of ISS' new Equity Plan Scorecard approach, you'll also gain insight into the "Black Box" approach taken by Glass Lewis. Further, we will explore the growing number of non-ISS/Glass Lewis compliant programs companies are pursuing over the past two proxy seasons.

 

 

This presentation will bring you a description of the latest notable changes impacting companies granting equity awards to employees outside the U.S., as well as a discussion of some notoriously difficult topics for global stock plan professionals.

 

In the first half of the presentation, our speaker will cover the key non-U.S. tax, legal and other regulatory developments affecting equity awards over the past year, such as the relaxed exchange control rules in Argentina, the new qualified RSU regime in France, the impact of Brexit on global share plans and many more.  Hear practical perspectives on how companies have responded to these developments and reactions seen and heard from the global community.

 

During the second part, we will turn our attention to some continuously problematic issues surrounding equity awards, such as:  

 

  • Treatment of awards held by employees on a leave of absence and the merits of a global leave of absence policy
  • Favorable retirement provisions (based on age or age + service)
  • Tying equity awards to non-complete/non-solicitation/confidentiality covenants
  • The rise of Total Rewards Statements and inclusion of equity awards in TSRs
  • Special tax issues for awards held by terminated employees

Biographies:

Jon Burg is a Partner and practice leader of Aon Radford's equity compensation consulting practice. He has 19 years of compensation and benefits consulting experience, including a specialization in equity compensation over the past 12 years. Jon collaborates directly with management and compensation committees to design sound equity compensation plans, practices and procedures. He also works with companies on the valuation and financial management of their programs under ASC Topic 718 and IFRS 2, leveraging an extensive actuarial background to provide rigorous and thoughtful compliance.

Ryan Sanchez is Director with the Aon Governance Services team, where he works with other consultants to provide executive compensation, corporate governance, and shareholder outreach guidance and analysis. Ryan previously spent over 10 years with Institutional Shareholder Services (ISS) in their proxy research department where he was instrumental in researching and developing their executive and equity compensation policies.
