The Global Equity Round Up: Latest Developments and Tricky Issues

Description:

This presentation will bring you a description of the latest notable changes impacting companies granting equity awards to employees outside the U.S., as well as a discussion of some notoriously difficult topics for global stock plan professionals.

In the first half of the presentation, Barbara will cover the key non-U.S. tax, legal and other regulatory developments affecting equity awards over the past year, such as the relaxed exchange control rules in Argentina, the new qualified RSU regime in France, the impact of Brexit on global share plans and many more. Hear practical perspectives on how companies have responded to these developments and reactions seen and heard from the global community.

In the second half of the presentation, we will turn our attention to some continuously problematic issues surrounding equity awards, such as:

  • Treatment of awards held by employees on a leave of absence and the merits of a global leave of absence policy
  • Favorable retirement provisions (based on age or age + service)
  • Tying equity awards to non-compete/non-solicitation/confidentiality covenants
  • The rise of Total Rewards Statements and inclusion of equity awards in TSRs
  • Special tax issues for awards held by terminated employees

Biographies:

Barbara Klementz - Partner, Baker & McKenzie LLP 

Barbara is a partner in the Global Equity Services Group in Baker & McKenzie's San Francisco office, where she is co-chair of the San Francisco/Palo Alto Compensation and Employment Law Practice Group. She has practiced in the area of global equity and executive compensation for more than fourteen years and serves as a member of NASPP, GEO and the San Francisco Bar Association. Barbara has authored several articles on global equity issues for the BNA Executive Compensation Journal, Journal of Corporate Taxation and San Francisco and Los Angeles Daily Journal, among others. She is also a frequent speaker on a variety of global equity topics. Barbara is admitted to private practice in California and Duesseldorf, Germany.
