How to Conquer the World: Best Practices for Global Equity Compliance

Companies competing for talent globally know firsthand that equity awards are critical to attracting and retaining employees. However, granting equity awards around the world can be challenging (to say the least!) and costly unless the issuing company has put in place a compliance strategy that takes into account the tax and legal challenges.  Our presenters will discuss the various issues on a region-by-region basis and propose solutions with the goal of minimizing cost to the company while maximizing benefits to employees.   Drawing on practical experience, they will cover the latest trends for successfully administering global equity plans and provide the audience with a checklist of best practices intended to improve global compliance.

Biographies:

Barbara Klementz, Partner, Baker & McKenzie LLP

Barbara Klementz is a partner in the Global Equity Services Group in Baker & McKenzie’s San Francisco office, where she is co-chair of the San Francisco/Palo Alto Compensation and Employment Law Practice Group. Ms. Klementz focuses her practice on global equity compensation programs, employee benefits and executive compensation. She regularly advises multinational companies on implementing their equity compensation programs worldwide — particularly as it relates to tax and securities law matters and exchange control regulations. Ms. Klementz also frequently advises on the treatment of such programs in corporate spin-offs and other corporate transactions, as well as on the tax treatment of cross-border employees.

Ms. Klementz has practiced in the area of global equity and executive compensation for more than twelve years and serves as a member of the National Association of Stock Plan Professionals, the Global Equity Organization and the San Francisco Bar Association. She has been described by her clients as “thorough, practical and talented”  and has authored several articles on global equity issues for the BNA Executive Compensation Journal, Journal of Corporate Taxation and San Francisco and Los Angeles Daily Journal, among others. She is also a frequent speaker on a variety of global equity topics.

Valerie Diamond, Partner, Baker & McKenzie LLP

Valerie Diamond is chair-elect of the Firm’s North America Compensation and Employment Law Practice Group and chair of the Global Equity Services Sub Practice Group at Baker & McKenzie’s San Francisco office. She assists companies in the design and implementation of international employee stock plans and provides advice on the tax, securities law and exchange control compliance issues that arise when options, restricted stock or purchase rights are granted to employees.

Ms. Diamond is recommended by Legal 500 and has been named a "Leader in the Field" by Chambers USA 2014, described as "the 'impressive' Valerie Diamond," and is recognized by clients as being "just wonderful." Ms. Diamond serves on the National Association of Stock Plan Professionals Advisory Committee and is an active member of the Global Equity Organization and Certified Equity Professionals Institute.  Ms. Diamond is the 2008 recipient of the National Association of Stock Plan Professionals’ Individual Achievement Award.
