Jason Day counsels public companies on issues related to the Securities Exchange Act of 1934, NYSE and NASDAQ compliance and disclosure. He also advises public company executives and boards on matters regarding proxy statements, executive compensation, corporate governance, Sarbanes Oxley Act, Dodd-Frank Act, Regulation FD and other areas of SEC compliance.  Jason was named “Colorado Lawyer of the Year” by Law Week Colorado in 2013.   He is a graduate of the George Washington University Law School.

Frederick Marquardt has represented over 300 clients, both domestic and foreign, on proxy solicitation and corporate governance issues. A member of the International Corporate Governance Network (ICGN) and the Society of Corporate Secretaries and Governance Professionals, Fred frequently gives presentations to law firms, investment banks and professional organizations on current topics in proxy solicitation and corporate governance. Fred is a graduate of St. John’s University Graduate School of Business Administration.

Ronald Schneider has over 35 years experience with proxy solicitation, investor relations, corporate governance, investor activism and M&A.  He serves as a frequent speaker at industry events, as guest lecturer at New York University, and he has authored numerous articles and white papers.  Ron has advised public companies of all sizes and industries facing investor activism as well as challenging and sensitive proxy solicitations involving corporate governance, compensation and control issues.  Ron is a graduate of Princeton University.
