Is Silence the Answer? Acceptance of Award Agreements
 
With award agreements frequently including important terms and covenants (such as clawbacks, non-competes and non-solicitation provisions), companies are increasingly requiring employees to formally accept grant agreements. This is especially true - and uniquely challenging - for restricted stock unit grants, where no employee action is required to obtain the stock upon vesting. This panel will highlight various solutions to the administrative challenges of requiring award acceptance and provide attendees with the tools to evaluate which is the right approach for their companies.  They will cover the U.S. and non-U.S. tax and legal
implications of acceptances in various forms.

Among many other topics, this program will cover:
  • Why grant acceptance is important and the risks of not requiring
    acceptance
  • Why the grant acceptance enforcement policy you use for your stock
    option program doesn't work for restricted stock units
  • Various solutions for enforcing an acceptance requirement and
    related accounting tax and/or legal considerations
  • Why a one size fits all approach is problematic
